Funding and NIH signals

A Form D is the notice a company files with the SEC after selling securities in a private offering; the amount is the “Total Amount Sold” the company reported. When the company also announced a raise in a press release, Radar shows that round once (the press release, with “Form D filed <date>” as backing) instead of a second row here if the Form D was filed: within 14 days of the announcement and the announcement gives no amount or the security type matches (equity or debt); 15 to 45 days apart, the security type matches and the Form D amount sold or offered is within 10% of the announced amount or between 50% and 110% of it; or 46 to 90 days apart, the security type matches and the Form D amount is within 10%. When the announcement gives an “up to” amount, the Form D is compared with that amount too. Otherwise the Form D is listed here as its own row. A Form D whose first sale was more than a year before it was filed reports a cumulative amount sold over several years: such rows say “Form D reports $X sold since <year>”, not “Raised”, unless the filing itemises its rounds, in which case the latest round is shown. When a Form D total includes money the company would receive only if warrants are exercised later, the row says “Form D reports $X, incl. warrant exercise value”, not “Raised”; when the whole amount is that value, it says “Form D reports $X in warrant exercise value”. “Amended <date>” means the amount is from that amendment. Form Ds that report stock-option or RSU grants, or only stock options with nothing sold (equity compensation), are not counted, nor are Form Ds with nothing sold that only report shares issued for a licence, acquisition or services (non-cash share issuance). NIH awards are government grants, never counted as money raised; each says whether it is a new award or a continuation. “Since then posted” counts only jobs Radar can show were first posted after the filing or award date; otherwise the row says how many roles are open. A raise or grant next to open jobs does not mean one caused the other.
